By accessing or using the site, submitting an inquiry, creating an account, or placing an order, you acknowledge that you have read, understood, and agree to be bound by these Terms and the policies incorporated below. If you do not agree, do not use the site or purchase our products. These Terms include a binding arbitration agreement and class action waiver that affect how disputes are resolved.

These Terms, together with the following policies, form the entire agreement between you and us regarding the site and your purchases. Each policy is incorporated by reference:

We may modify these Terms at any time. Changes take effect when posted to this page with an updated date, and your continued use or purchase after that constitutes acceptance.

The site is intended for business customers. You represent that you are at least 18 and able to enter into a binding contract.

If you create an account, you agree to provide accurate information, keep your credentials confidential, and remain responsible for activity under your account. Sign-in may use email and password or a Google or Microsoft account. Notify us promptly of any unauthorized use. We may suspend or terminate an account that violates these Terms or is used for fraud or abuse.

You agree not to:

• Use the site for any unlawful purpose or in violation of these Terms.
• Scrape, harvest, or collect data from the site by automated means without our written permission.
• Interfere with or disrupt the site, probe its security, or attempt to gain unauthorized access to any system or data.
• Introduce malware, or use the site to transmit unsolicited or harmful content.
• Infringe our intellectual property or that of others, or reverse engineer any part of the site except as permitted by law.

We strive for accurate product descriptions, specifications, and images, but we do not warrant that they are complete, accurate, or error-free, and products may vary slightly from images shown.

Specifications and features may change without notice. Custom configurations can differ from standard models, and final specifications are confirmed in your order documentation.

Prices are in US Dollars and may change without notice. Unless stated, prices do not include shipping, installation, taxes, or duties.

Custom quotes are valid for 30 days from issuance unless otherwise specified. We may correct pricing errors and cancel any order placed at an incorrect price.

Placing an order is an offer to purchase subject to these Terms. We may accept or decline any order, and an order is confirmed only when we issue a written order confirmation or invoice.

Payment terms are stated in your quote or order confirmation. Standard terms require a deposit on order placement, with the balance due before shipment. We accept wire transfer, ACH, and major credit cards. Card payments are handled on our payment processor’s hosted checkout; we do not receive or store your card number.

Lead times, freight, and delivery details are described in our Shipping & Returns policy. Delivery dates are estimates and are not guaranteed.

Risk of loss transfers to you upon delivery to the carrier. Inspect all shipments on arrival and report any damage or discrepancy to us within 5 business days, with photos and your order number, so we can make it right.

Returns and refunds are governed by our Shipping & Returns policy, which controls. In summary, made-to-order hardware is non-returnable once production begins, unopened stocked accessories may be returned within 30 days with a Return Merchandise Authorization (RMA), and programmed or custom items are non-returnable. Defective products are handled under the warranty.

Our products carry a 5-year limited warranty against defects in materials and workmanship under normal commercial use. The full coverage, exclusions, and claim process are set out on our Warranty page, which is incorporated by reference and controls the details. Except as stated there and to the extent permitted by law, we disclaim all other warranties, express or implied, including implied warranties of merchantability and fitness for a particular purpose.

All content on this site, including text, images, graphics, logos, product designs, and software, is the property of Gatestile Inc. or its licensors and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works from our content without our written permission.

By using the site or contacting us, you consent to receive communications and records from us electronically, including by email and by postings on this site. You agree that electronic records and notices satisfy any legal requirement that such communications be in writing.

The site and its content are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties regarding the site, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, and we do not warrant that the site will be uninterrupted, timely, secure, or error-free, or that any content is accurate or complete. Warranties for our products are addressed on our Warranty page. Some jurisdictions do not allow certain warranty disclaimers, so some of the above may not apply to you.

To the maximum extent permitted by applicable law, Gatestile Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, or goodwill, arising out of or related to your use of our products or services.

Our total liability for any claim arising under these Terms shall not exceed the total amount you paid for the specific product or service giving rise to the claim.

You agree to indemnify and hold harmless Gatestile Inc. and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your violation of these Terms, your misuse of the site or products, or your violation of any law or the rights of a third party.

We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including acts of nature, fire, flood, labor disputes, supplier or carrier delays, war, terrorism, government action, and disruptions to utilities, transportation, or communications.

Please read this section carefully. It affects your legal rights. You and Gatestile Inc. agree to resolve any dispute arising out of or relating to these Terms, the site, or our products through binding individual arbitration, rather than in court, except as stated below.

Arbitration will be administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, seated in Kings County, New York. The arbitrator decides all issues, except that a court may decide the enforceability of this section. Judgment on the award may be entered in any court with jurisdiction.

Class action waiver. Disputes will be arbitrated only on an individual basis. You and we waive any right to a jury trial and to bring or participate in a class, collective, or representative action.

Exceptions. Either party may bring an individual claim in small-claims court, and either party may seek injunctive or other equitable relief in court to protect intellectual property or confidential information.

30-day opt-out. You may opt out of this arbitration agreement within 30 days after you first accept these Terms or first place an order, whichever is earlier, by emailing office@gatestile.com with your name and a statement that you opt out of arbitration. Opting out does not affect the rest of these Terms.

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-law rules. For any dispute that is not subject to arbitration, or if the arbitration agreement is found unenforceable, you and we consent to the exclusive jurisdiction of the state and federal courts located in Kings County, New York.

You may not assign or transfer these Terms or any rights or obligations under them without our prior written consent. We may assign these Terms, including in connection with a merger, acquisition, or sale of assets. These Terms bind and benefit the parties and their permitted successors and assigns.

These Terms and the incorporated policies are the entire agreement between you and us regarding their subject matter and supersede any prior understandings. If any provision is found unenforceable, it will be limited or removed to the minimum extent necessary and the rest remains in effect. Our failure to enforce a provision is not a waiver.
